CONSTITUTION BY LAW OF SOCIETY OF MARKETING STUDENTS

PREAMBLE

We, the members of the SOCIETY OF MARKETING STUDENTS, imploring the help of our Almighty God, in order to build and bind ourselves as one association that shall enhance and promote marketing skills and strategies between and among its members and officers, to develop good leadership and social responsibilities, to uphold the prestige and dignity of the University, foster student relationship in order to attain for the advancement of our goals, objectives, ideas and aspirations based on justice, freedom, democracy and equity, do ordain and promulgate this Constitution.

ARTICLE I
DEPARTMENTS NAMES AND ADMINISTRATIVE CENTER

Section 1 The name of the organization shall be SOCIETY OF MARKETING STUDENTS.

Section 2 The office of the Association shall be at Pangasinan State University, Asingan Campus.

ARTICLE II
PRONOUNCEMENT OF IDEOLOGY AND OBJECTIVES

Section 1 This Association shall be a coordination body for all Business Administration Major in Marketing Management students in the campus.

Section 2 This Association shall plan, implement and evaluate program/activities for Business Administration students’ welfare for the development of its department and course.

Section 3 This Association shall promote equality and fellowship among its members.

Section 4 This Association shall be guided by the rules and regulations of the University and shall strictly adhere to the principles, policies and other enacting laws from College Student Council, Commission on Higher Education, and other applicable laws of the Land.

Section 5 This Association shall uphold the rights of every Business Administration Major in Marketing Management students as provided in the Department and University Code.

Section 6 This Association shall promote moral, intellectual, spiritual, socio-cultural, and physical well-being.

Section 7 This Association shall assist the College Student Council of the campus and shall implement rules and regulations of the University which will coincide with its purposes.

Section 8 This Association while uniting the members of the Business Administration Department, shall develop constructive leadership and personal integrity.

ARTICLE III
MEMBERSHIP, FEES, DEPARTMENT AND UNIFORM

Section 1 All officially enrolled students of Business Administration Courses in Pangasinan State University, Asingan Campus are members of SOCIETY OF MARKETING STUDENTS.

Section 2 Every officer and member shall pay a membership fee of Php 50.00 to be collected by the Department Treasurer annually upon enrollment of the first semester, the amount of which shall be determined by the officers through a meeting called for such purpose. Any fees shall be minimal.

Section 3 All raised funds, revenues, collections and solicitation, donation in cash or in kind shall be submitted to the treasurer. The auditor shall audit fees from time to time, whenever needed.

Section 4 Special Projects, revenues, raised funds and collection can be collected for the special projects and solicitations, donations must be done also in projects.

Section 5 All cash income and outcome shall be properly documented and audited.

ARTICLE IV
DUTIES AND RESPONSIBILITIES OF MEMBERS

Section 1 To observe and uphold the Bachelor of Science in Business Administration (BSBA) Constitution and by-laws, the law of the Republic, the policies of the Commission on Higher Education (CHED) and the rules and reputation of the University.

Section 2 To uphold the Academic Integrity of the University

Section 3 To support Bachelor of Science in Business Administration (BSBA) in its plans, implementation of programs and objectives.

Section 4 To exercise their rights and responsibilities.

Section 5 To be concerned about the school issues affecting them.

ARTICLE V
BILL OF RIGHTS

Section 1 Every member shall enjoy all the right and privileges granted in the Philippine Constitution of 1987 and in all legally applicable laws of the land.

Section 2 Every member, individually or collectively, shall be entitled to have their complaints be heard by the proper authorities.

Section 3 Every member shall have the right to present outlooks to appropriate committees of the department before any decision or policy affecting their right, and welfare is implemented.

Section 4 No members shall be subject to disciplinary section without the due process of law.

Section 5 Religious and spiritual practices shall be respected.

Section 6 Founding and/or joining other groups unless otherwise with objectives/purposes not contrary to the objectives/ideas of this organization is permitted.

Section 7 All officers and members have the right to examine document involving transactions (financial, electoral and/or minutes of meeting) which they deemed questionable.

Section 8 The right to know where the funds and/or contributions will be used.

Section 9 To vote for against proposals put forward by any member of the organization.

Section 10 The right to use any facilities of the organization.

Section 11 The right to properly informed of any decisions. minutes of the meetings, circular orders by-laws in which each members’ cooperation is required.

Section 12 The right to vote for whoever candidate for officers of the present school year.

 

ARTICLE VI
GOVERNANCE

Section 1 The Department Officers shall be composed of Governor, Vice-Governor, Secretary, Sub-Secretary, Treasurer, Sub-Treasurer, Auditors, PRO’s, Business Managers, Muse and Adonis shall serve as the implementing body of this Association.

Section 2 The Homeroom officers shall be composed by the Mayor, Vice-Mayor, Secretary, Sub-Secretary, Treasurer, Sub-Treasurer, Auditors, PRO’s, Business Managers, Muse and Adonis shall serve as representative of their section or homeroom and will help on implementing matters of the department.

ARTICLE VII
DUTIES AND RESPONSIBILITIES OF ADMINISTRATIVE OFFICERS

Section 1 GOVERNOR

Is the administrative head thereby representing the organization in all meetings where organizational representation is needed inside and outside the University.

  1. Responsible to have better information and proper order of the members of the organization.
  2. Presides over the meeting of BSBA
  3. Create different standing committees, pick over or temporarily appoint chairman.
  4. Prepare the budget for any activities within the year or semester.
  5. Sign all the documents and communications of the BSBA.
  6. Perform such as other functions as are inherent in his/her position.

Section 2 VICE-GOVERNOR

Shall assist the Governor in performance of his activities regarding internal club affairs, financial matters and interpersonal relationship and performance of every officer.

  1. He, upon the governor call for a meeting, is responsible for organizing the quorum.
  2. In the absence, illness, inability, resignation and impeachment of the Governor the Vice-Governor shall have the ability to discharge the duties of the Governor.

Section 3 SECRETARY

  1. He/She shall have the list of all office records of the organization and must keep all the records of the proceedings of the executive council.
  2. Records the minutes of the meetings and checks attendance on council.

 

  1. To handle and be responsible for all correspondence, notices and announcements in close coordination with the concerned officers and members of the association.
  2. To notify all members of the association on pertinent matters approved by the elected officers.

Section 4 TREASURER

A  Assists the Governor in preparation of the budget of the BSBA organization.

  1. Keep the financial records of the organization.
  2. Primarily responsible for the collection of all fees and dues for the association.
  3. Present all financial reports to the executive officers and advisor of the BSBA organization at the end of the school year.

 

Section 5 AUDITORS

  1. Shall examine certify the soundness and correctness of the association’s expenditures and submit audited financial statements to the executive boards.
  2. Shall audit financial report of the treasurer of all transactions, funds and properties, involving the organization.

Section 6 PRESS RELATION OFFICERS

  1. Shall take initiative of protecting good and acceptable image of the organization in the campus.
  2. Be responsible in giving proper and due publicity to the activities of the BSBA organization.
  3. Release new items regarding the activities of the organization to the interested parties.
  4. Promote good relationship between the organization and the media or public.

Section 7 BUSINESS MANAGERS

  1. Shall responsible for all the transaction of the organization.
  2. Supervise all business and fund-raising activities of the organization.
  3. Keep an inventory of all properties of the organization purchased or acquired in its name.

Section 8 MUSE AND ADONIS

Responsible in keeping up the good reputation of the association.

Section 9 REPRESENTATIVES

Elected as class Mayors of every classroom (1st-4th), represents the whole class in every meeting.

ARTICLE VIII
ELECTION OF OFFICERS AND ENDORSEMENT OF DOCUMENTS TO THE NEWLY ELECTED OFFICERS

Section 1 The election shall take place simultaneously with the election of the officers of other organization. The schedule of which depend on higher authorities.

Section 2 Election of officers shall be done secret balloting of by raising the hands depending on the volume of the members.

Section 3 All bona fide members can be elected as officers except for the Governor, Vice-Governors, Secretaries who must be an old member having 4 semesters of residency at the PANGASINAN STATE UNIVERSITY – ASINGAN CAMPUS.

Section 4 This constitution and by-laws, documents, funds owned by BSBA should be forwarded by the incumbent Governor to the newly elected Governor after the result of the election of officers of BSBA.

Section 5 The newly elected Governor should give the list of the newly elected officers to the BSBA Chairman and Advisors and coordinate with them the plans for the year.

ARTICLE IX

MEETINGS AND QUORUMS

Section 1 The members of BSBA will hold a general meeting or a special meeting at any place agreed.

Section 2 The regular meetings shall be at least once a month, any date agreed upon by the majority.

Section 3 The Governor with the approval of the adviser can call Special Meeting of the organization.

Section 4 At least 60% of the members will constitute quorum during the general meeting. No meeting shall be held for any purpose or whatsoever unless the adviser of the organization is informed and invited to join the meeting.

ARTICLE X

ACCOUNTABILITY OF OFFICERS

Section 1 All the officers of BSBA shall serve with the highest degree of responsibility, integrity and efficiency and shall be accountable to the members.

Section 2 Any officers of BSBA may be removed from the office be a vote of majority of all its officers and members on any following grounds:

Gross neglect of duty.

Violation of any provision of the constitution, rules and regulation of the organization, department, University.

Malversation of funds.

Section 3 Any officer who wanted to resign on his position should inform and make a letter of resignation with valid reasons and submit to the BS COE Area Chairman, Advisers and CSC President.

ARTICLE XI

TERM OF OFFICE, EFFECTIVITY AND AMENDMENTS

Section 1 This Constitution and by-laws of the organization, officers of the Bachelor of Science in Business Administration shall be permanent.

Section 2 This Constitution and by-laws of the organization shall be permanent. Additions and Revisions of the article will through constitutional amendments. It shall approve and implemented if voted by 2/3 of the voting members (officers, representatives, area chairman, adviser).

Section 3 Constitutional conventions shall be called by the Governor as the need arises.

Section 4 The newly elected officers of the organization shall take duty immediately after proclamation.

Section 5 Any elected officers of the organization may be removed in caused of usurpation of authority, neglecting the duty and immortality.

Section 6 In case of vacancy in reason or resignation, removal or personal incapacity and/or inability of discharged official function to perform duties, the Governor should appoint an acting officer to replace the vacant position until the term ends.

Section 7 Before the term ends, there shall be one incumbent officer-in-charge to take over until the next school year can have new set of officers.

Section 8 If the Governor of is graduating, he/she appoints incumbent officer to take over until the next school year can have new set of officers.

Section 9 All assets, record and liabilities shall be deposited to the adviser or to an incumbent officer-in-charge.
